Terms of Service

1. Agreement to Terms

By accessing or using the Geodesix platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

Geodesix is a content licensing marketplace operated by Geodesix Ltd ("Geodesix," "we," "us," or "our"), connecting publishers and content creators ("Publishers") with large language model operators, AI companies, and retailers ("LLM Operators" or "Demand Partners").

2. Platform Services

Geodesix provides a marketplace platform that facilitates:

• Content licensing between Publishers and LLM Operators through the Model Context Protocol (MCP)
• Content discovery, retrieval, and attribution services
• Usage analytics and reporting for Publishers
• Payment processing for content licensing transactions

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time without prior notice.

3. Account Registration

To use certain features of the Platform, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorised use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.

4. Publisher Terms

If you are a Publisher using the Platform, you represent and warrant that:

• You own or have the necessary rights, licences, and permissions to license the content you submit
• Your content does not infringe upon the intellectual property rights of any third party
• Your content complies with all applicable laws and regulations
• You have the authority to grant the licences described in your licensing agreements

Content Licensing

By submitting content to the Platform, you grant Geodesix a non-exclusive licence to:

• Index, store, and process your content for retrieval purposes
• Display content metadata and previews to potential Demand Partners
• Facilitate the licensing of your content to approved Demand Partners

You retain all ownership rights in your content. The specific licensing terms for each transaction will be governed by the applicable Publisher Licensing Agreement.

5. LLM Operator Terms

If you are an LLM Operator or Demand Partner, you agree to:

• Use licensed content only in accordance with the applicable licensing terms
• Maintain accurate records of content usage for attribution and payment purposes
• Provide proper attribution as specified in your licensing agreements
• Not use content for training purposes unless explicitly authorised
• Implement appropriate technical measures to track and report content usage

Usage Restrictions

Unless explicitly authorised in writing, you may not:

• Use licensed content to train or fine-tune AI models
• Redistribute or sublicense content to third parties
• Remove or alter attribution information
• Use content in a manner that competes with the original Publisher

6. Fees and Payment

Platform usage may be subject to fees as described in your service agreement. Payment terms include:

• All fees are quoted in the currency specified in your agreement
• Payments are due within the timeframe specified in your invoice
• Late payments may be subject to interest charges
• We reserve the right to modify our fee structure with reasonable notice

For Publishers, payments for licensed content usage will be processed in accordance with your Publisher Agreement.

7. Intellectual Property

The Platform, including its software, design, text, graphics, and other content (excluding user-submitted content), is owned by Geodesix and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Platform without our prior written consent.

All trademarks, service marks, and trade names used on the Platform are the property of their respective owners.

8. Prohibited Conduct

You agree not to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Submit false, misleading, or fraudulent information
• Interfere with or disrupt the Platform or its servers
• Attempt to gain unauthorised access to any part of the Platform
• Use automated systems to access the Platform without permission
• Engage in any activity that could damage, disable, or impair the Platform

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, error-free, or completely secure. We are not responsible for the accuracy, quality, or legality of content submitted by users.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GEODESIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from your use of the Platform shall not exceed the amount you paid to us in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Geodesix and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any rights of another party
• Content you submit to the Platform

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration, except that either party may seek injunctive relief in any court of competent jurisdiction.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after such changes constitutes acceptance of the modified Terms.
